Cooperative capital, occupancy contribution, member loan and advance purchase payment are different contracts with different repayment/security risks. Under state Ley27/1999 arts45–51, statutory capital and mandatory/voluntary contributions have their own terms; exit reimbursement is subject to legal/statutory deductions, timing and applicable refusal rights. Territorial cooperative law governs a mainly regional project, so no universal Spanish immediate-exit repayment promise is made.
State housing art89.5 ties reimbursement of housing-finance advances and capital to replacement by another member in the departing member’s rights/obligations, with prescribed deductions; exit is not necessarily immediately liquid. State housing-cooperative arts89–92 distinguish ownership adjudication from retained cooperative ownership/use rights and impose specified accounting/audit/transmission rules. A member’s personal loan/guarantee is separate from limited subscribed-capital exposure. State art15also has specified five-year post-exit liability up to reimbursed capital for prior debts.
Before budgeting member funds, document what amount is risk capital, what is reimbursable, queue/transfer rules, cash reserve and lender subordination. Purchase/construction advances require separate consumer/advance-guarantee analysis; a share subscription is not automatically a guaranteed housing purchase deposit. es-national-youth-rural-home requires actual individual purchase/self-build conditions.
